Barclays analysts project an all-stock acquisition could arrive before December, consolidating the billionaire's voting control across artificial intelligence, robotics, and aerospace while accelerating a massive compensation clause.

NEW YORK - Speculation surrounding a blockbuster corporate combination between SpaceX and Tesla has intensified on Wall Street, with financial analysts projecting that a tie-up could propel Elon Musk net worth to $2 trillion. According to a research note from Barclays analyst Dan Levy, the billionaire chief executive could announce an all-stock merger before Tesla annual shareholder meeting in early December, uniting his aerospace and electric-vehicle empires.

Since SpaceX completed its landmark initial public offering on June 12, Musk has repeatedly crossed the trillionaire threshold amid daily stock fluctuations. A formal consolidation of his two largest enterprises could dramatically accelerate his wealth by triggering a change-of-control provision buried on the fifth page of his Tesla compensation agreement, according to reporting by The Wall Street Journal.

That contract, originally valued at $1 trillion and currently worth roughly $824 billion following share dilution, consists of twelve stock tranches tied to valuation milestones starting at $2 trillion and reaching up to $8.5 trillion. Under the takeover clause, half of the performance targets Musk previously had to achieve would be automatically satisfied if Tesla is acquired. The Wall Street Journal modeled a scenario in which SpaceX, valued near $2.1 trillion, acquires Tesla at a 54 percent premium in a $2 trillion all-stock transaction, granting Tesla stockholders 3.8 shares in the combined company for each share owned.

Beyond personal wealth, Barclays identified governance control as the primary catalyst. Through super-voting Class B shares carrying ten times the voting power of Class A stock, Musk commands between 73 percent and 82 percent of SpaceX voting authority, compared with roughly 19.9 percent at Tesla. If SpaceX absorbs the automaker, Barclays estimated Musk would own 37 percent of the combined corporation while controlling 56 percent of total voting power. Musk has long sought at least a 25 percent voting stake to prevent proxy advisors from unseating him as Tesla scales its robotics ambitions, while Tesla Board Chair Robyn Denholm previously told CNBC that his compensation package centered on voting influence rather than money.

Levy noted that a transaction would likely be marketed to investors as an artificial intelligence vertical integration strategy. The combination would pair Tesla physical AI programs, including its autonomous Robotaxi fleet and Optimus humanoid robots, with SpaceX virtual AI assets such as Grok and Macrohard. SpaceX absorbed Musk artificial intelligence startup xAI in February, forming a combined operation then valued at $1.25 trillion.

Consolidating the boards would also streamline funding approvals for Terafab, Musk ambitious computing manufacturing venture that includes a $3 billion research facility in Austin and a planned $16.8 billion production complex. Additional synergies outlined by Barclays include embedding Starlink satellite connectivity into Tesla vehicles and deploying Tesla energy storage systems inside future SpaceX orbital data centers. Technical collaboration between the companies was further underscored Thursday evening when Tesla demonstrated its next-generation electric Roadster equipped with SpaceX-designed cold-gas thrusters.

Significant financial and regulatory obstacles could still complicate a near-term marriage. Bloomberg consensus estimates cited by Barclays project Tesla generating $12 billion in free cash flow in 2030, whereas SpaceX is forecast to consume $17 billion to fund rocket development and satellite infrastructure.

Any transaction would require approval from both boards and shareholder bases, where broker non-votes accounted for 11 percent of ballots at Tesla last annual meeting, alongside rigorous antitrust reviews. Barclays also highlighted potential national-security complications arising from SpaceX sensitive United States defense contracts and Tesla extensive manufacturing presence in China. While corporate deadlines require Tesla to convene shareholders by December 6, analysts noted a formal combination could alternatively emerge over the next six to twelve months. Prediction markets remain cautious regarding an imminent deal, with Kalshi traders pricing a 19 percent probability of a merger and Polymarket assigning a 24 percent chance before year-end.
